Game Over? Nvidia Buys Its Fastest Rival for $20 Billion

Nvidia is poised to acquire AI chip challenger Groq in a cash deal valued at approximately $20 billion, according to people familiar with the matter. This marks the chipmaker’s most ambitious acquisition to date, signaling an aggressive push to secure dominance in the next phase of artificial intelligence computing.

First reported on Christmas Eve, the transaction would surpass Nvidia’s $6.9 billion purchase of Mellanox in 2019. It effectively absorbs a high-profile Silicon Valley rival that had positioned itself as a faster, more specialized alternative to Nvidia’s hardware ecosystem.

While terms remain unconfirmed by the companies, Wall Street views the move as a strategic pivot from training AI models to running them—a process known as inference.

On training, Nvidia already owns the board. What this does is push them much further into real-time inference, where the next wave of money is.

The quote comes from a large U.S. tech portfolio manager, highlighting the shift in investor focus toward the deployment phase of generative AI.

Betting on Speed Over Muscle

Groq, founded in 2016 by former Google engineer Jonathan Ross, built its reputation on the Language Processing Unit (LPU). Unlike traditional GPUs which excel at parallel processing, Groq’s architecture is tuned specifically for latency.

The company utilizes an approach that relies on on-chip SRAM (static random-access memory) rather than external high-bandwidth memory. While this limits the size of models that can run on a single device, it allows for lightning-fast responses—a critical feature for chatbots and real-time voice agents.

Groq showed you could have near-instant answers without burning a data center down. For latency-sensitive workloads, that’s gold.

A senior engineer at a major cloud provider, who has tested hardware from both companies, noted that this speed advantage fills a specific gap in the market that general-purpose GPUs struggle to address efficiently.

The financial leap is significant. Groq raised $750 million earlier this year at a $6.9 billion valuation. A $20 billion price tag implies a massive premium for a company expecting roughly $500 million in revenue this year, suggesting Nvidia sees existential value in the technology.

Defensive Maneuvers

For Nvidia CEO Jensen Huang, the acquisition is a defensive play against a crowding market. Rivals like AMD and Cerebras, along with internal chip projects at Amazon and Google, are racing to erode margins in the inference sector.

By absorbing Groq, Nvidia gains a compiler stack tuned for deterministic, low-latency workloads. Analysts suggest this technology could be integrated into Nvidia’s CUDA and Enterprise platforms, effectively closing off a route for competitors to gain a foothold.

Think of this as Nvidia closing the flanks. They already own the premium training market. Groq helps them own the ‘instant response’ experience that end users actually feel.

A San Francisco-based semiconductor banker noted that this also sends a message to hyperscalers attempting to reduce their dependence on Nvidia silicon: the market leader intends to control the standards for both hardware and software across the entire AI stack.

The Valuation Question

The deal has drawn mixed reactions regarding the multiple paid. Nvidia shares dipped modestly in thin holiday trading as some investors digested the cost relative to Groq’s current revenue.

From a pure numbers standpoint, it’s eye-watering. You’re paying Arm-like multiples for a business that’s still proving out its go-to-market. But in this cycle, strategic optionality is what the market rewards.

Despite the high price tag, Nvidia’s stock remains buoyed by the broader “once-in-a-generation” spending cycle on AI infrastructure, with demand for its H100 and B100 GPUs seemingly insatiable.

The Antitrust Hurdle

The acquisition will almost certainly trigger intense scrutiny in Washington and Brussels. Regulators are already sensitive to Big Tech consolidation, and Nvidia’s previous attempt to buy British chip designer Arm for $40 billion collapsed under similar pressure.

Buying a fast-rising rival in a market you already dominate is going to raise eyebrows. Expect detailed questions about foreclosure risks and whether cloud providers will still have meaningful alternatives.

Unlike previous licensing deals, this acquisition reportedly encompasses all of Groq’s chip assets. While Groq’s nascent cloud service business may be excluded to appease regulators, the core issue of market concentration remains.

Acqui-hiring the Architects

Beyond the intellectual property, the deal serves as a massive recruitment drive. Jonathan Ross is considered one of the premier architects in the space, having helped design Google’s first Tensor Processing Unit (TPU). Bringing his team in-house could revitalize Nvidia’s approach to dedicated inference silicon.

The IP is important, but the real prize is the people who built it. The question is whether they can keep innovating inside a giant like Nvidia.

For clients who chose Groq specifically to diversify away from Nvidia, the news presents a complication. They now face the prospect of their chosen alternative being absorbed into the incumbent they sought to hedge against.

Ultimately, this deal acts as a barometer for the industry. It is a $20 billion bet that efficiency and speed will define the next era of AI, provided regulators allow the transaction to close.
